Terms of Service


1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site or Services. If you use the Services on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.


2. Relationship to Other Agreements

These Terms apply to general use of the Site and Services. If you have entered into a separate written agreement with Motum — such as a Master Services Agreement, order form, or subscription agreement (a "Customer Agreement") — that Customer Agreement governs your paid use of the Services. In the event of any conflict between these Terms and a signed Customer Agreement, the Customer Agreement controls.


3. The Services

Motum provides operations software, including automated communications, scheduling, and related workflows, to service businesses. We may add, modify, or discontinue features at any time. We may also set limits on use or suspend access as reasonably necessary to operate the Services.


4. Accounts and Access

Some parts of the Services require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate access for violation of these Terms or for conduct that harms the Services, other users, or third parties.

6. Messaging

If you use the Services to send text messages, you are responsible for obtaining and maintaining all required consents from recipients and for complying with applicable messaging laws and carrier requirements. Our handling of message-related data is described in our Privacy Policy. Recipients may opt out at any time by replying STOP.


7. Intellectual Property

The Site and Services, including all software, text, design, and trademarks (including "Motum" and "Motum Systems"), are owned by Motum or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services in accordance with these Terms. No other rights are granted.


8. Customer Data and Content

You retain ownership of the data and content you submit to the Services ("Customer Data"). You grant Motum a limited license to use, process, and transmit Customer Data solely to provide and improve the Services and as described in our Privacy Policy or an applicable Customer Agreement. You are responsible for the accuracy and legality of Customer Data and for having the rights and consents necessary for us to process it.


9. Third-Party Services

The Site and Services may link to or integrate with third-party services (for example, scheduling and messaging providers). We are not responsible for third-party services, and your use of them is governed by their own terms.


10. Disclaimers

The Site and Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.


11. Limitation of Liability

To the maximum extent permitted by law, Motum will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to your use of the Services. Motum's total liability for any claim arising out of or related to these Terms or the Services will not exceed the greater of (a) the amounts you paid to Motum for the Services in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100). Where a Customer Agreement specifies a different limitation of liability, that agreement controls for paid Services.


12. Indemnification

You agree to indemnify and hold harmless Motum and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your Customer Data, or your violation of these Terms or applicable law.


13. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Services. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.


14. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be brought in the state or federal courts located in New Jersey, and you consent to their jurisdiction, except where a Customer Agreement specifies otherwise.


15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site or Services after changes take effect constitutes acceptance of the updated Terms.
